PLEASE READ THESE TERMS CAREFULLY. By accessing or using any Neztex service, you agree to be bound by these Terms of Service. These Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada.

1. Acceptance of Terms

By accessing our website at neztex.com, engaging our services, or entering into any agreement with Neztex Inc., you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use our services. These Terms apply to all visitors, clients, and users of Neztex services.

2. Description of Services

Neztex provides the following services:

Specific deliverables, timelines, and pricing are defined in individual project proposals and statements of work agreed upon in writing between Neztex and the client.

4. Hosting Services & Free Website Offer

4.1 Hosting Plans

Neztex offers web hosting services subject to the terms of your selected hosting plan. Hosting services are provided on a subscription basis.

4.2 Free Website Design / Redesign Offer

Clients who subscribe to an active Neztex hosting plan are eligible for one (1) complimentary website build or full redesign. This offer is subject to the conditions below.

4.3 Acceptable Hosting Use

Hosted content must comply with all applicable laws, including those of Québec and Canada. Prohibited content includes illegal material, malware, spam, content infringing intellectual property rights, and content promoting hate or violence.

6. Intellectual Property

6.1 Client Content

You retain full ownership of all content, data, logos, trademarks, and materials you provide to Neztex. You grant Neztex a limited, non-exclusive licence to use such materials solely for the purpose of delivering agreed services.

6.2 Deliverables

Upon receipt of full payment, Neztex assigns to the client all rights, title, and interest in custom-developed deliverables created specifically for the client's project, except for Neztex's pre-existing tools, libraries, and frameworks which remain Neztex's property.

6.3 Portfolio Rights

Neztex reserves the right to display completed work in its portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.

7. Acceptable Use

You agree not to use Neztex services to:

Violation of this policy may result in immediate suspension or termination of services without refund.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF QUÉBEC AND CANADA, NEZTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

Neztex's total liability to any client for any claim arising from the services shall not exceed the total amount paid by that client to Neztex in the three (3) months preceding the claim. Nothing in these Terms limits liability for gross negligence, intentional misconduct, or as otherwise prohibited by the Consumer Protection Act (Québec).

9. Termination

Either party may terminate a service agreement with 30 days' written notice, unless a specific project agreement specifies otherwise.

Neztex reserves the right to suspend or terminate services immediately, without prior notice, in cases of: non-payment, violation of the Acceptable Use policy, or any illegal activity conducted through the services.

Upon termination, Neztex will provide the client with a copy of their data in a standard format for a period of 30 days, after which data may be permanently deleted.

10. Governing Law (Québec)

These Terms of Service are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, including but not limited to the Civil Code of Québec, the Consumer Protection Act (Québec), and the Act respecting the protection of personal information in the private sector (Law 25).

Consumer protection rights under Québec law are not waived or limited by these Terms.

11. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation before resorting to litigation.

Any legal proceedings shall be brought exclusively before the courts of the Province of Québec, in the judicial district of Montréal, and both parties submit to the personal jurisdiction of those courts.
